Terms of engagement

These terms apply to visitors of smart-softwarehub.digital and to clients who engage Software Hub Audit Co. for an audit of applications or related advisory work. By using this site or accepting a scope letter, you agree to these terms.

Acceptance

Engagements begin only when both parties accept a written scope letter that names applications, deliverables, timeline, and fees. Website content is informational and does not itself form a contract for audit work.

Services

We provide independent audit and readiness reviews of business applications as described in each scope letter. We do not provide legal opinions, financial statement audits under statutory standards, or software products.

Client responsibilities

Clients supply accurate inventories, timely evidence, and access to knowledgeable owners. Delays in evidence may extend timelines without reducing fees already earned for work performed.

Intellectual property

Working papers remain the property of Software Hub Audit Co. The final findings pack delivered to the client may be used internally and shared with the client’s auditors and regulators. Republishing our reports for marketing, or removing findings while retaining our letterhead, is not permitted without written consent.

Confidentiality

We treat client application data, access exports, and commercial information as confidential and use them only to perform the engagement, except where disclosure is required by law.

Liability

Our aggregate liability arising from an engagement is limited to the fees paid for that engagement, except where liability cannot be limited under applicable law. We are not liable for indirect or consequential loss, including lost profits or regulatory penalties imposed on the client.

Governing law

These terms are governed by the laws of Japan. Courts with jurisdiction connected to 宮城県 shall have competence over disputes arising from these terms, without prejudice to mandatory consumer protections where they apply.

Site use

You may not misuse this website, attempt to disrupt its operation, or scrape content for competing commercial databases. Fee figures on the site are guidance only until confirmed in a scope letter.
